Terms of Service
Last updated: October 7, 2026
These Terms of Service ("Terms") govern your use of JointTex, a collaborative LaTeX workspace and related services (the "Service") provided by SIDERA LOGIC LIMITED ("JointTex," "we," "us," or "our"). By creating an account, accessing, or using the Service, you agree to these Terms. If you use the Service for an organization, you confirm that you have authority to bind that organization, and "you" includes that organization.
1. Eligibility and your account
You must be legally able to enter into this agreement. Provide accurate account information, keep your credentials and access tokens confidential, and promptly tell us about suspected unauthorized access. You are responsible for activity under your account, except to the extent caused by our failure to protect the Service.
2. The Service
JointTex lets you create, import, edit, compile, share, and collaborate on LaTeX projects. Features, plans, quotas, and integrations may change over time. We may modify, suspend, or discontinue a feature when reasonably necessary for security, legal compliance, or operation of the Service; where practical, we will give advance notice of material adverse changes.
3. Your content and permissions
You retain ownership of the content you submit to the Service ("Your Content"). You grant us a limited, worldwide, non-exclusive right to host, store, reproduce, transmit, modify solely for technical formatting or processing, and display Your Content only as necessary to provide, secure, and improve the Service and to comply with law.
You are responsible for Your Content and for obtaining all rights, permissions, and consents needed to submit it, share it, and use it with the Service. When you invite collaborators or create a share link, you authorize the people who receive access to view, use, and edit the relevant project according to the access you grant. Revoke access when it is no longer appropriate.
4. Acceptable use
You will not, and will not help others to:
- use the Service unlawfully or to violate others’ rights, privacy, intellectual-property rights, or contracts;
- upload malware, attempt unauthorized access, disrupt the Service, bypass quotas or access controls, or probe the Service for vulnerabilities without our written permission;
- use the Service to distribute harmful, abusive, or deceptive material, or to facilitate fraud;
- reverse engineer or interfere with the Service except where applicable law expressly permits it; or
- use automated means to access the Service except through features or APIs we make available for that purpose.
We may investigate suspected violations and suspend or terminate access where reasonably necessary to protect users, the Service, or others.
5. AI features
AI features are optional and may use third-party model providers. By using an AI feature, you instruct us to send the input and relevant context needed for the request to the configured provider. AI output may be inaccurate, incomplete, or unsuitable for your purpose. You must review it before relying on, publishing, compiling, or sharing it. Do not submit personal, confidential, or third-party information unless you have the right and an appropriate basis to do so.
We do not use Your Content or AI feature inputs and outputs to train our own models or for advertising, resale, or unrelated commercial purposes. Agent conversations and formula-recognition history remain available to you as described in the Privacy Policy.
AI output may not be unique and does not receive any guarantee of ownership, non-infringement, availability, or fitness for a particular purpose.
6. Paid plans and payment
Paid features, pricing, billing interval, taxes, and renewal terms will be shown before purchase. Payments are processed by the applicable payment provider, currently Stripe when Stripe billing is enabled. You authorize the provider to charge the payment method you select for recurring subscriptions until you cancel. You can manage eligible subscriptions through the provider-hosted billing portal. Fees are non-refundable except where required by law or expressly stated otherwise.
7. Intellectual property
We and our licensors own the Service, including its software, design, branding, and other materials, excluding Your Content. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for its intended purpose. No other rights are granted.
8. Feedback
If you provide suggestions or feedback, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free right to use it without restriction or compensation. This does not give us ownership of Your Content.
9. Disclaimers
The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not warrant that the Service will preserve data indefinitely, that compiled documents or AI output will be correct, or that the Service will meet your requirements.
10. Limitation of liability
To the maximum extent permitted by law, neither JointTex nor its suppliers will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business opportunities, arising out of or related to the Service or these Terms.
To the maximum extent permitted by law, JointTex’s total liability for all claims arising out of or related to the Service or these Terms will not exceed the greater of (a) the amount you paid to us for the Service in the 12 months before the event giving rise to the claim, or (b) US$100. Nothing in these Terms limits liability that cannot lawfully be limited or excluded.
11. Indemnity
To the extent permitted by law, you will defend and indemnify JointTex and its affiliates, officers, employees, and agents against claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from Your Content, your misuse of the Service, or your violation of these Terms or applicable law.
12. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate your access if you materially breach these Terms, create risk or legal exposure for us or others, or if required by law. On termination, your right to use the Service ends. Sections that by their nature should survive will survive, including ownership, disclaimers, limitations of liability, indemnity, and governing-law provisions. Please export content you need before closing your account.
13. Governing law and disputes
These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to its conflict-of-law rules. Except where applicable law provides otherwise, the courts located in Hong Kong SAR have exclusive jurisdiction over disputes arising from or related to these Terms or the Service.
14. Changes and contact
We may update these Terms from time to time. We will post the revised Terms here and update the "Last updated" date. If a change is material, we will provide additional notice where required by law. Continued use after the revised Terms take effect means that you accept them.
Questions about these Terms may be sent to [email protected].
